Due Diligence is the name of process whereby two firms meaning to merge check one another and validate the claims made during negotiation.
This is also the process where a prospective buyer for a company check up the business data and processes of the company he is considering buying.
The Due Diligence process is long, hard and tedious and involve going through massive amounts of data and interviewing more than a few employees.
For the success of the process you need to have it done by people who understand business deeply, and not just the legal and accounting sides.
Many times the crucial bits of information are mixed in between trivial ones and only an experienced eye can tell them apart and raise questions in the proper time and place.
